1. Introduction

These Terms and Conditions ("Terms") are a binding agreement between you and Paymillo ("Paymillo," "we," "us," or "our") governing your access to and use of the Paymillo website, applications, and related services (together, the "Service"). By creating an account, browsing the Service, or otherwise using it in any way, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree with any part of these Terms, you should not access or use the Service.

We may offer certain features, promotions, or tools as part of the Service from time to time. Unless stated otherwise, anything we add later is also covered by these Terms.

2. Definitions

To keep things consistent throughout this document:

• "Account" means the registered profile you create to access the Service.
• "Content" means any text, image, data, or other material available through the Service, whether provided by us, by you, or by another user.
• "User Content" means Content that you submit, upload, or otherwise make available through the Service.

If you believe your Account has been accessed without your permission, contact us immediately so we can help secure it.

You may not share your Account with anyone else, transfer it, or maintain more than one Account unless we explicitly permit it. We may ask you to verify your Account at any point and may limit functionality until verification is complete.

5. The Service We Provide

Paymillo is a platform that maintains a catalogue of new apps, games, and online services, which members can browse, try, and keep a record of. The specific features, catalogue, and layout of the Service may change over time as we add, adjust, or retire functionality. We do not guarantee that any particular feature, activity, or piece of Content will remain available indefinitely.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use of it. Specifically, you agree not to:

• Use the Service in any manner that violates any applicable local, national, or international law or regulation.
• Attempt to interfere with, disrupt, or compromise the security or proper functioning of the Service, its servers, or its networks.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying structure of the Service.

We reserve the right to investigate suspected violations of this section and to take any action we consider appropriate, including removing Content, suspending an Account, or reporting conduct to law enforcement where required.

7. User Content and Conduct

You retain ownership of any User Content you submit through the Service. By submitting User Content, you grant Paymillo a limited, worldwide, royalty-free, non-exclusive license to host, store, reproduce, and display that Content solely as necessary to operate, maintain, and improve the Service. This license ends when you remove the Content or close your Account, except where copies are retained for legal, security, or backup purposes.

You are solely responsible for your User Content and for the consequences of posting it. You represent that you own or have the necessary rights to submit your User Content and that doing so does not violate the rights of any third party.

8. Intellectual Property

The Service, including its design, layout, graphics, interfaces, and underlying software, is owned by Paymillo or its licensors and is protected by copyright, trademark, and other intellectual property laws. Except for the limited right to use the Service as intended and permitted by these Terms, nothing in these Terms transfers any intellectual property right to you.

The Paymillo name, logo, and related marks are trademarks of Paymillo. You may not use them without our prior written permission.

9. Third-Party Links and Services

The Service may contain links to or integrations with third-party websites, applications, or services that we do not own or control. We are not responsible for the content, policies, or practices of any third party. Your interactions with third-party services are solely between you and that third party, and we encourage you to review their terms and privacy practices before engaging with them.

10. Credits and Rewards

From time to time, the Service may offer credits, points, or other incentives connected to certain activities. Any such credits or rewards are provided at our discretion, have no cash value unless expressly stated, and may be modified, capped, or discontinued at any time. We may adjust, correct, or reverse a credited amount where it was issued in error or as a result of prohibited activity such as fraud or abuse of the Service.

11. Availability and Changes to the Service

We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free access. The Service may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances outside our control. We reserve the right to modify, suspend, or discontinue any part of the Service, temporarily or permanently, with or without notice.

12. Suspension and Termination

We may suspend or terminate your Account, in whole or in part, at any time if we reasonably believe you have violated these Terms, engaged in fraudulent or abusive activity, or if termination is necessary to protect the Service, other users, or third parties. You may close your Account at any time by contacting support. Provisions of these Terms that by their nature should survive termination, including but not limited to intellectual property, disclaimers, and limitation of liability, will survive.

13. Disclaimers

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Paymillo disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or free of errors.

14. Limitation of Liability

To the fullest extent permitted by applicable law, Paymillo and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or goodwill, arising out of or related to your use of, or inability to use, the Service, even if we have been advised of the possibility of such damages. Our total liability for any claim arising from these Terms or the Service will not exceed the amount, if any, you paid us in the twelve months preceding the claim.

15. Indemnification

You agree to indemnify and hold Paymillo, its officers, employees, and affiliates harmless from any claim, demand, loss, or expense, including reasonable legal fees, arising out of your use of the Service, your User Content, or your violation of these Terms or of any rights of a third party.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Illinois, United States, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Illinois, and you consent to the personal jurisdiction of those courts.

17. Changes to These Terms

We may revise these Terms from time to time to reflect changes to the Service, legal requirements, or our practices. When we do, we will update the "Last updated" date above and, for material changes, take reasonable steps to notify you. Your continued use of the Service after a revised version takes effect constitutes acceptance of the changes.

18. General Provisions

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision will not be considered a waiver of that right. These Terms, together with our Privacy Policy and Cookies Policy, constitute the entire agreement between you and Paymillo regarding the Service and supersede any prior agreements.
